Terms and conditions
This is a translation of our German AGB. If the two differ, the German version prevails.
1. Scope
These general terms and conditions apply to all contracts between 4XOR Software Schäuble (a sole proprietorship, owner Tobias Schäuble, Dornacherstrasse 17, 4147 Aesch, Switzerland; “4XOR”) and its clients (“Client”) for consulting, workshops, AI pilot projects, software development, automation, websites and ongoing support. Our offers are aimed at businesses. Different terms of the Client apply only if 4XOR agrees to them in writing.
2. Contract
The packages and prices on this website are an invitation to make an offer. The contract is made when 4XOR confirms scope, start date and price in writing (email is enough; the “order confirmation”). The order confirmation takes precedence over these terms.
3. Fixed-price services
Fixed-price packages cover the services described in the order confirmation. Additional services or changes to the scope are agreed in writing and may be charged in addition. In an AI pilot project, metrics are agreed in the first week and the prototype is measured against them. If the approach turns out not to work, the parties decide together whether to change course or end the project. If a project ends early, the order confirmation governs billing; where it says nothing, the share of the fixed price for the work done so far is charged.
4. Prices, invoices and payment
All prices are in Swiss francs (CHF), plus VAT where applicable. On request, 4XOR invoices in euros (EUR) at the current rate. Unless the order confirmation says otherwise, the invoice follows the order confirmation. Invoices are payable within 30 days net of the invoice date, without deduction. If payment is late, the Client owes default interest of 5% a year (Art. 104 of the Swiss Code of Obligations), and 4XOR may hold back further work until payment.
5. Monthly partnership
Ongoing support (the partnership) is agreed as a monthly block of hours and invoiced monthly in advance. It can be cancelled at any time, in writing (email is enough), to the end of the current calendar month. Months already paid are not refunded.
6. The Client’s cooperation
The Client provides the information, data, access and contact people needed in good time and gives feedback promptly. Delays caused by missing cooperation move the agreed dates accordingly.
7. Rights to code and results
On full payment, the rights to the code, documentation and other project-specific results created for the Client pass to the Client, and 4XOR hands over code, documentation and access. Until then, the Client may use the results for testing and review. 4XOR’s pre-existing components, tools and general know-how remain with 4XOR; where they are part of the results, the Client receives a perpetual, non-exclusive right to use them. Open-source components are subject to their own licences.
8. Partners
4XOR may engage partner engineers from its network (freelancers) and other subcontractors to deliver its services. They are bound by contract to confidentiality and to the agreed data rules. 4XOR remains responsible to the Client for the work.
9. Confidentiality and data protection
Each party keeps the other’s confidential information confidential, also after the contract ends. Where 4XOR processes personal data on the Client’s behalf, the parties sign a data processing agreement. Otherwise the privacy policy applies.
10. Warranty
4XOR performs its services with care and to the recognised state of the art. AI systems work with probabilities and can make mistakes; AI solutions are therefore delivered with an approval step where it makes sense, and checking and approving the results lies with the Client. The Client reports defects in writing within 30 days of handover. 4XOR fixes reported defects within a reasonable time.
11. Liability
4XOR is liable without limit for damage caused intentionally or by gross negligence and for personal injury. Otherwise, to the extent permitted by law, liability is limited to direct damage and to the amount the Client paid for the order concerned; for the monthly partnership, to the fees of the last twelve months. Liability for indirect and consequential damage, lost profit and loss of data is excluded to the extent permitted by law. 4XOR is liable for its auxiliaries to the same extent.
12. Governing law and jurisdiction
These terms are governed exclusively by Swiss law, excluding the UN Convention on Contracts for the International Sale of Goods (CISG). The exclusive place of jurisdiction is 4XOR’s registered seat in Aesch BL, Switzerland, subject to mandatory places of jurisdiction.
13. Final provisions
Changes and additions must be in writing (email is enough). If a provision is invalid, the rest of these terms remains valid and is replaced by the provision closest to its purpose. 4XOR may update these terms; running contracts keep the version in force when they were made.
